By accessing or using the HIRY AI platform and related services provided by Stebr Canada Inc. ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services.

HIRY AI is an artificial intelligence-powered recruitment platform that provides:

• SmartScreen AI: Candidate screening and assessment tools
• SmartPush AI: Automated recruitment pipeline management
• Learny AI: Personalized training and skill development
• Fraud detection and security features
• Analytics and reporting capabilities

3. User Accounts and Responsibilities

3.1 Account Creation

You must create an account to use our services. You agree to provide accurate, complete, and current information and to update it as necessary.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

3.3 Prohibited Uses

You agree not to:

• Use the service for illegal purposes or in violation of any laws
• Attempt to circumvent fraud detection systems
• Share account credentials with unauthorized parties
• Reverse engineer or attempt to extract source code
• Interfere with the service's operation or security

4. Subscription and Payment Terms

4.1 Subscription Plans

We offer various subscription plans as detailed on our pricing page. Features and limitations vary by plan.

4.2 Payment Terms

• Subscription fees are billed in advance
• All fees are non-refundable except as required by law
• We may change pricing with 30 days notice
• Optional success fees apply only to confirmed placements

4.3 Free Tier

Our Basic plan is free forever with usage limitations. We reserve the right to modify free tier features with reasonable notice.

5. Data and Privacy

5.1 Your Data

You retain ownership of data you submit to our platform. Our Privacy Policy governs how we collect, use, and protect your information.

5.2 Candidate Data

You are responsible for obtaining necessary consents from candidates before submitting their data to our platform. You warrant that you have the right to process such data.

5.3 Data Security

We implement industry-standard security measures, but you acknowledge that no system is completely secure. We are not liable for unauthorized access due to factors beyond our reasonable control.

6. Intellectual Property

6.1 Our Rights

The HIRY AI platform, including all AI models, algorithms, software, and content, is our proprietary property protected by intellectual property laws.

6.2 License Grant

We grant you a limited, non-exclusive, non-transferable license to use our services in accordance with these Terms during your subscription period.

7. AI and Algorithm Disclaimers

7.1 AI Assistance

Our AI provides assistance and recommendations but does not make final hiring decisions. You retain full responsibility for all hiring decisions.

7.2 No Guarantee of Accuracy

While we strive for high accuracy, AI systems may produce errors. You should verify important information and use human judgment in decision-making.

7.3 Bias Mitigation

We actively work to reduce bias in our AI systems, but you are responsible for ensuring your hiring practices comply with applicable anti-discrimination laws.

8. Service Availability and Support

8.1 Uptime

We target 99.9% uptime but cannot guarantee uninterrupted service. Scheduled maintenance will be announced in advance when possible.

8.2 Support

Support levels vary by subscription plan. Enterprise customers receive priority support with dedicated account management.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Lost profits, revenue, or business opportunities
• Hiring decisions made using our platform
• Third-party actions or data breaches
• Service interruptions or data loss

Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold us harmless from claims arising from:

• Your use of our services
• Violation of these Terms
• Infringement of third-party rights
• Your hiring practices and decisions

11. Termination

11.1 By You

You may terminate your account at any time through your account settings. Paid subscriptions will continue until the end of the current billing period.

11.2 By Us

We may suspend or terminate your account for violation of these Terms, non-payment, or other reasons with appropriate notice.

11.3 Effect of Termination

Upon termination, your access to the service will cease, but certain provisions of these Terms will survive termination.

12. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated through email or platform notifications. Continued use constitutes acceptance of modified terms.

13. Governing Law and Disputes

13.1 Governing Law

These Terms are governed by the laws of Canada and the Province of Ontario, without regard to conflict of law principles.

13.2 Dispute Resolution

Disputes will be resolved through binding arbitration in Toronto, Ontario, except for claims that may be brought in small claims court.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding our services.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
